Agency Program Terms

1. Definitions

“Client” means the business the agency onboards into Flatzer and bills as its own. “End user” means the person chatting with a Client's agent. These terms create no direct relationship between Flatzer and the end user.

2. Purpose

These terms govern an agency's participation in the Flatzer agency program, under which the agency buys AI agents at agency pricing and resells them to its own Clients under its own brand and its own price.

3. Pricing and minimum fee

The agency buys agents in three tiers: Essential (€34/month, 1 channel), Business (€69/month, 2 channels), and Multi-site (€125/month, 4 channels), each with its monthly AI usage included. Each month the agency pays whichever is greater: €299, or the sum of the price of all its active agents. One-off extensions under Section 4 do not count toward this minimum fee.

4. AI usage and extensions

Each tier includes a monthly AI usage allowance. If a Client exhausts its included AI usage, the agent pauses until the start of the next month.

5. Onboarding and offboarding

The agency may onboard or offboard Client agents at any time. Offboarding takes effect at the end of the period already paid for, with no proration; from that date the agent stops being billed and no longer counts toward the minimum fee.

6. Billing

Prices exclude VAT. Flatzer bills the agency monthly in advance, in a single invoice for all its active agents. A missed payment triggers a warning and, if unresolved within 15 days, suspension of the affected agents.

7. Ownership of the commercial relationship

Clients onboarded by the agency are Clients of the agency, not of Flatzer. Flatzer will not contact a Client to sell directly while this agreement lasts or for 12 months after its termination. If the agency ends its participation, each Client may keep using Flatzer by contracting directly with Flatzer. In the data-processing chain, the Client is the controller, the agency acts as its processor, and Flatzer as the agency's sub-processor. The agency must sign a data processing agreement compliant with GDPR Article 28 with each Client, obtain its authorization to sub-process to Flatzer, and pass on the acceptable-use rules from the general terms.

8. Support

Flatzer supports the agency. The agency directly supports its own Client and end users; Flatzer does not replace that support relationship.

9. Data

Each Client's agent runs in an isolated environment on servers in the European Union. Sub-processors and international transfers are governed by the Data Processing Addendum.

10. Duration and founder pricing

The 5 agencies joining during the pilot keep founder pricing frozen for 24 months from onboarding. After that period, the then-current price applies with 30 days' prior notice. Flatzer may end the pilot with 30 days' notice.

11. Limitation of liability

Flatzer's liability is governed by the general terms, which prevail together with the Data Processing Addendum except for matters specific to this program.

12. Governing law and jurisdiction

These terms are governed by Spanish law. Any dispute shall be submitted to the courts of Spain.
